TERMS AND CONDITIONS OF SALE

1. THESE TERMS AND CONDITIONS
   1. These Terms and Conditions ("Terms") apply to every order ("Order") for a product ("Product") placed through the website www.anpario.com.au ("Website").
   2. They form the contract of sale for those Products between Anpario Pty Limited (ABN. 27 616 647 244) ("ANP") whose registered office is c/o Kelly Partners Level 1, 286 High Street, Penrith NSW 2571 buying the Products ("You" or "Your").
   3. Products may not be bought through the Website if it is intended to commercialise or otherwise use the Products for business purposes (including wholesalers, distributors or other resellers) and these Terms do not apply to You nor govern the purchase of the Products.
   4. You should read these Terms carefully before placing any Order through the Website and if you do not wish to be bound by these Terms, DO NOT place an Order.
   5. While You are using the Website ANP may collect personal information. ANP’s Privacy Policy can be found at https://www.anpario.com.au/Data-Protection-and-Privacy-Policy
   6. The use of the Website is subject to the Website ‘Terms of Use’ which can be found at https://www.anpario.com.au/Website-Terms-and-Conditions
2. PRODUCTS
   1. NP warrants it has the right to sell and pass title in the Products and that they are:
      1. of satisfactory quality;
      2. fit for purpose; and
      3. as described;
      
      by reference to the descriptions, specification(s) on the Website and on the Product labels.
   2. ANP:
      1. manufactures the Products in accordance with their specification and in a controlled environment to Feed Materials Assurance Scheme and Universal Feed Assurance Scheme production standards;
      2. use reasonable care and skill in the manufacture and supply of the Products and supply the Products in appropriate packaging;
      3. provide at or around the time an Order is accepted a Safety Data Sheet ("SDS"). The Products are safe and stable if used, handled and stored in accordance with the SDS and Product labels. Failure to do so may cause the Products to deteriorate, become unstable and unsafe or the key benefits may not be realised.
      4. will use its best endeavours to ensure the information on the Website remains accurate, complete and up to date;
      5. does not give any representation, condition, warranty or guarantee that the Products are fit for a purpose not specified in the Product descriptions, specifications or labels unless You make us specifically aware of Your requirements and ANP accepts Your order on that basis; and
      6. reserves the right (without notice) to make changes to the Products which do not materially affect the safety, quality or key benefits of the Products and to change, modify or otherwise correct the descriptions, specifications(s) and Product labels.
3. PRODUCT SAFETY
   1. The Website contains a detailed description and specification including key benefits, instructions for the use, handling and storage for each Product. There is also information on the label of each Product. And in the SDS (together "Product Information") and by placing an Order, You agree:
      1. to read the Product Information carefully before using a Product; and
      2. only use and store a Product in accordance with the Product Information.
4. OFFERS TO PURCHASE AND ORDERING
   1. An Order is an offer to purchase the Products subject to these Terms.
   2. ANP may accept or reject an Order at its discretion and an Order shall not be accepted, and no binding obligation to supply any Product shall arise, until ANP has delivered a written acceptance of the Order and reserves the right to change the price without notice (though not in respect of Products where an Order has already been accepted)
   3. If ANP is unable to accept an Order it will notify You as soon as reasonably practicable.
   4. If an Order is accepted, You will be notified by email once the Products are ready for despatch. ANP may cancel an Order which has been accepted if it is suspected that You are acting fraudulently or if in breach of any of these Terms
5. PAYMENT
   1. The price for the Products is the price listed on the Website at the time an Order is accepted. Unless stated otherwise, all amounts on the Website are stated in Australian dollars. The price includes GST and tax on the sale of the Products (if applicable) and the delivery option that You have selected to the address that You provide as part of the checkout process.
   2. Products must be paid for in full prior to despatch by an approved payment method, which include credit and debit cards.
   3. You must only use Your own credit or debit card or one You have been authorised to use specifically for the purpose of the Order. All credit and debit cards are subject to authorisation and validation checks by the card issuer.
   4. ANP uses a third-party payment provider to process payments and as part of the payment process You may be directed to their website (or to the site of Your credit provider). ANP does not hold any of Your credit or payment information.
6. DELIVERY OF PRODUCTS
   1. The Products will be delivered to the place of delivery specified when You place an Order. You may be able to change the place of delivery by contacting us before an Order has been despatched. All deliveries are subject to our delivery terms ("Delivery Terms") which can be found at https://www.anpario.com.au/delivery.
   2. ANP aims to deliver the Products in accordance with your chosen delivery option. If it is not possible to fulfill an Order by Your chosen delivery option (including time for delivery), either ANP or a third-party logistic provider will contact You as soon as possible. If an alternative time for delivery, cannot be arranged, either You or ANP may cancel the Order and both the price for the Products and the delivery charges for the delivery option which You have selected will be refunded. PLEASE NOTE that delivery times are an estimate, and that time is not of the essence (and cannot be made of the essence by notice) in respect of ANP’s obligations under these Terms including in respect of delivery unless Your Order was accepted on that basis.
   3. A signature is required for all Products delivered, at which point the title to and risk in the Product will pass to You. If You have specified a recipient who is not You, then title and risk will pass upon delivery of the Product to the specified recipient.
7. RETURNS AND CANCELLATION

   Any cancellation or returns will be subject to ANP’s returns policy ("Returns Policy") which can be found at https://www.anpario.com.au/returns. Please note we may also ask You to dispose of the Products rather than return them.

8. WARRANTIES AND LIABILITY
   1. All express or implied warranties, representations, statements, terms and conditions relating to these Terms or a Product that are not contained in these Terms, are excluded to the maximum extent permitted. Nothing in these Terms excludes, restricts or modifies any guarantee, term, condition, warranty, right or remedy implied or imposed by any statute or regulation which cannot lawfully be excluded or limited, (including under the Australian Consumer Law).
   2. If any guarantee, term, condition or warranty is implied or imposed ("Non-Excludable Provision") and we are able to limit Your remedy for a breach of such a Non-Excludable Provision, ANP’s liability for breach of the Non-Excludable Provision is limited the replacement of the Products or the supply of equivalent Products, the payment of the cost of replacing the Products or of acquiring equivalent Products.
   3. Subject to ANP’s obligations under any Non-Excludable Provision, and to the maximum extent permitted, the aggregate liability for all claims whether in contract, tort (including negligence), in equity, under statute or on any other basis, is limited to the amounts paid by You for the purchase of the Product the subject of the claim.
   4. ANP will not be liable to You for:
      1. Your acts or omissions (e.g. failure to comply with the Product Information);
      2. any delays or failures in performance which result from circumstances beyond ANP’s reasonable control;
      3. loss of profits, loss of sales or business, loss of production or yield, loss of agreements or contracts, loss of anticipated savings, loss of or damage to goodwill or reputation; or,
      4. any indirect, special, consequential or economic loss.
9. GENERAL PROVISIONS
   1. If You have any problems or issues with a Product, or have any questions, queries or require further information about ANP or its Products, please contact us through the contact page on the Website.
   2. If any part of these Terms is held to be unenforceable, the unenforceable part is to be given effect to the greatest extent possible and the remainder will remain in full force and effect.
   3. These Terms (including the Delivery Terms and the Returns Policy) are governed by the laws of New South Wales, Australia, and each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
   4. These Terms constitute the entire agreement between You and ANP in relation to the Order and supersede all other (prior or contemporaneous) communications or displays whether electronic, oral, or written, between us and You in relation to the products.
   5. Your purchase of a Product is conducted electronically and each party agrees that the other may communicate with it electronically for all aspects of any product purchase, including by sending electronic notices.
   6. The provisions of these Terms which by their nature survive termination or expiry of these Terms will survive termination or expiry of these Terms.
   7. The term “including” when used in these Terms is not a term of limitation.
